Long term notes are those that come due in more than one year, are also very common. They differ from bonds mainly in the way the contract with the creditor is structured. A long term note is a promissory note that represents a loan from a bank or other creditor, whereas a bond is a more complex financial instrument that usually involves debt to many creditors. Analysts often do not distinguish between long-term notes and bonds because they have similar effects on the financial statements.
Firms often borrow money by signing notes payable to banks or other lending institutions. Such notes can either be interest-bearing or discounted notes. This section describes the essential features of both types.

LTNs are popular in both registered and physical form. Registered long term notes means they will not be made in physical form, literally with a piece of paper. LTNs were popular many years ago when they were put in physical form and were also popularly known as bearer bonds. Many governments issued LTN bonds to raise capital, and this is the case today. The US and Brazil, for example issue US debt and Brazilian debt to fund operations, and indeed this is done on smaller scales by cities, counties and states worldwide. Many series’ and colors like purpose and blue long term notes are issued for LTNs. Along with issuing the LTN many would like securities identified attached to the securities such as ISIN codes and CUSIP numbers.
Note: Not all LTNs can be placed on DTC or others. Not all countries that issue LTNs can be placed on DTC.
