CHICAGO, Claire’s Stores, Inc. (the “Company”) today announced the sale of $400 million aggregate principal amount of 9.00% senior secured first lien notes due 2019 (the “Notes”). The Notes were priced at par. The Notes will initially be issued by Claire’s Escrow II Corporation (the “Escrow Issuer”), a wholly-owned first-tier subsidiary of the Company, created solely to issue the Notes. Settlement is scheduled to occur on February 28, 2012.
The Escrow Issuer will merge with and into the Company upon the availability of the Company’s financial statements for the fiscal year ended January 28, 2012 demonstrating compliance with certain existing debt covenants. Upon the merger, the Notes will be guaranteed by all of the Company’s direct or indirect wholly-owned domestic restricted subsidiaries and secured on a first-priority basis by substantially all of the assets of the Company and the guarantors. The security interests will rank equally with those securing the Company’s senior secured credit facility. If the merger does not occur by April 2, 2012, the Notes will be redeemed at par plus all accrued but unpaid interest through the date of redemption.
The Company intends to use the net proceeds of the offering of the Notes to reduce outstanding indebtedness under the Company’s current credit facility.
The Notes are being offered only to “qualified institutional buyers” in reliance on Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and outside the United States only to non-U.S. persons in reliance on Regulation S under the Securities Act.
