CHICAGO, March 12, 2012 — Claire’s Stores, Inc. (the “Company”) today announced the closing of the previously announced offering of an additional $100 million aggregate principal amount of its 9.00% senior secured first lien notes due 2019 (the “Additional Notes”). The Additional Notes were issued at 101.50% of the aggregate principal amount thereof, plus accrued interest from February 28, 2012. The Additional Notes are of the same series as the $400 million aggregate principal amount of 9.00% Senior Secured First Lien Notes due 2019 issued on February 28, 2012 (the “Original Notes” and, together with the “Additional Notes,” the “Notes”). The issuance of the Additional Notes completes the Company’s offer and sale of an aggregate of $500 million of Notes.
The Company used the net proceeds of the issuance of the Notes to reduce outstanding indebtedness under the Company’s current credit facility.
The notes are being offered only to “qualified institutional buyers” in reliance on Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and outside the United States only to non-U.S. persons in reliance on Regulation S under the Securities Act. The notes have not been and will not be registered under the Securities Act or any state securities laws and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act and applicable state securities laws.
