DALLAS, May 09, 2012 — Crosstex Energy, L.P. XTEX -0.35% (the Partnership) announced today that, subject to market conditions, the Partnership and its subsidiary, Crosstex Energy Finance Corporation, intend to offer $250 million in aggregate principal amount of senior unsecured notes due 2022 in a private placement to eligible purchasers under Rule 144A and Regulation S of the Securities Act of 1933, as amended (the Securities Act).
The Partnership intends to use the net proceeds from this offering to fund a portion of the consideration payable by the Partnership in connection with its previously announced agreement to acquire Clearfield Energy, Inc. and for general partnership purposes, including capital expenditures for the Cajun-Sibon natural gas liquids pipeline expansion. Pending such use, the net proceeds will be placed into an escrow account. If the acquisition does not close by August 31, 2012, the notes will be redeemed at 100% of the principal amount, plus accrued and unpaid interest to the redemption date.
The securities to be offered have not been registered under the Securities Act, or any state securities laws, and unless so registered, the securities may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws. The senior unsecured notes are expected to be eligible for trading by qualified institutional buyers under Rule 144A and non-U.S. persons under Regulation S.
